Your use of the website, app, and platform on which these terms reside, including each of their features (collectively, the "Platform"), is subject to these Terms of Service ("Terms"). Please read these Terms carefully before using the Platform. The Platform is owned and operated by LoudlabsX LLP ("Clipadda," "we," "us," or "our"), a company registered in India. The Platform is intended for use by individuals who are at least 18 years of age.

BY ACCESSING OR USING THE PLATFORM IN ANY WAY — INCLUDING BROWSING, CREATING AN ACCOUNT, SUBMITTING CONTENT, OR RECEIVING PAYMENTS THROUGH IT — YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

Clipadda is a video clipping marketplace that connects creators, brands, and streamers ("Creators") with independent editors who cut, edit, and publish short-form clips from longer content ("Clippers"), together with tools that help either side automate parts of that workflow.

From time to time, we may update the Platform and all or any portion of these Terms. Your continued use of the Platform after we post any changes constitutes your agreement to those changes from the date they are posted. We encourage you to review these Terms periodically. Unless otherwise prohibited by applicable law, we may discontinue the Platform or any part of it, or restrict your access, with or without notice, at our sole discretion. You will have no claim against us arising from such discontinuation or restriction, including with respect to any content you may have posted.

1. Clipadda Content

Content on the Platform provided by us or our licensors — including graphics, images, screenshots, text, downloadable files, trademarks, logos, product names, articles, data, code, videos, and the compilation of the foregoing ("Clipadda Content") — is our property or that of our licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian intellectual property laws.

You agree not to download, reproduce, display, or use any Clipadda Content outside the Platform for any commercial purpose, in connection with products or services that are not ours, in any manner likely to cause confusion, or in any way that infringes our or our licensors intellectual property rights.

2. Use of the Platform and Content Posting Policies

When using the Platform, including submitting clips, videos, comments, or other materials ("User Content"), you agree that you will not:
  • Use the Platform for any purpose that is unlawful, defamatory, obscene, threatening, harassing, or otherwise in violation of these Terms or our Content Requirements.
  • Upload, post, or distribute material protected by copyright or other intellectual property rights without the rights holder's permission.
  • Collect or store personal information about other users without their consent.
  • Use the Platform for any commercial purpose not expressly approved by us.
  • Transmit unsolicited advertising, spam, or promotional material.
  • Upload viruses, malware, or code intended to interfere with the Platform's functioning.
  • Engage in data mining, scraping, or use content on the Platform to train AI or machine learning models without our prior written consent.
  • Use the Platform for fraudulent purposes, including submitting fabricated engagement metrics or falsely claiming ownership of content.

You have no ownership interest in your account. We may suspend or terminate your account and remove associated User Content at any time, without notice, if we determine you have violated these Terms or applicable law, or for any other reason at our discretion.

License to User Content. By submitting, posting, or otherwise making available any User Content on or through the Platform, you grant Clipadda a non-exclusive, sub-licensable, worldwide, royalty-free license to host, use, reproduce, modify (for formatting and technical purposes), publicly display, distribute, and sublicense such User Content solely as necessary to operate, promote, and provide the Platform's marketplace functions (for example, delivering a Clipper's submission to a Creator, or showcasing successful clips for promotional purposes). You retain ownership of your User Content and may continue to use it as you choose, subject to these Terms. You represent and warrant that you own or have the necessary rights to the User Content you submit, and that it does not infringe any third party's intellectual property, privacy, or other rights.

Indemnity. You agree to indemnify and hold Clipadda, its officers, directors, employees, and affiliates harmless from claims, damages, and reasonable expenses (including legal fees) arising from your use of the Platform, your breach of these Terms, or User Content you submit.

Use of the Platform on a mobile device requires a compatible device and data/internet connectivity, which you must obtain and pay for separately. We may release updates to the Platform from time to time, which you agree to accept as a condition of continued use.

3. Copyright and Intellectual Property Infringement Notices

If you believe content on the Platform infringes your copyright or trademark rights, you may send a notice to support@clipadda.com with the subject line "IP Infringement Notice," including:
  • Identification of the copyrighted or trademarked work you claim is infringed.
  • Identification of the allegedly infringing material and its location on the Platform.
  • Your name, address, telephone number, and email address.
  • A statement that you have a good-faith belief that the use is not authorized by the rights holder, its agent, or the law.
  • A statement, made under penalty of perjury or equivalent declaration under Indian law, that the information provided is accurate and that you are authorized to act on behalf of the rights holder.

Upon receipt of a valid notice, we will investigate and, at our discretion, remove or disable access to the material in accordance with the Copyright Act, 1957 and the Information Technology Act, 2000 read with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We will make reasonable efforts to notify the user who posted the material and provide them an opportunity to respond, consistent with our obligations as an intermediary under Indian law.

Our designated Grievance Officer for content and platform-related complaints is the same officer named in our Privacy Policy.

4. Accounts, Passwords, and Security

You must provide current, complete, and accurate information when creating an account, and you are responsible for keeping it up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at support@clipadda.com if you suspect unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account, though we will act reasonably promptly once notified of a suspected breach.

5. Marketplace Transactions, Payments, and Payouts

  • Creator campaigns. Creators may post clipping campaigns or gigs with specified budgets, rates, and content requirements. By posting a campaign, you authorize Clipadda to make it visible to Clippers on the Platform.
  • Clipper submissions and payouts. Clippers submit clips against a Creator's campaign. Payouts are calculated and released according to the terms of the applicable campaign and our published payout policy, and are processed through our third-party payment partners. You must complete any identity or bank/UPI verification (KYC) we require before receiving a payout.
  • Fees and taxes. We may charge a service or platform fee on transactions, as disclosed at the time of the transaction. You are responsible for any Goods and Services Tax (GST), income tax (including TDS, where applicable), or other taxes arising from amounts you earn or pay through the Platform.
  • Pricing and availability. All fees, rates, and features are subject to change without notice. We reserve the right to refuse, cancel, or reverse a transaction — including in cases of suspected fraud, mispriced campaigns, or violations of our Content Requirements.
  • Refunds. Except as required by applicable Indian consumer protection law, or as stated in a specific campaign's terms, fees paid to access or use marketplace features are non-refundable.

6. Disclaimers and Limitation of Liability

The Platform, Clipadda Content, and User Content are provided on an "as is" and "as available" basis. We do not endorse, verify, or guarantee any User Content, including clips, campaign descriptions, or Clipper submissions, and we disclaim liability for their accuracy or reliability.

We are not responsible for interruptions, errors, data loss, or security breaches arising from use of the internet or the Platform, though we take reasonable measures to secure the Platform as described in our Privacy Policy.

To the fullest extent permitted under Indian law, Clipadda disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose, and shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits or data, arising from your use of or inability to use the Platform. Nothing in these Terms limits liability that cannot be excluded under applicable Indian law, including liability arising from our gross negligence, willful misconduct, or fraud.

7. Third-Party Websites, Services, and App Stores

The Platform may link to or integrate with third-party websites, applications, or services, including social media platforms and payment processors ("Third-Party Services"). We do not control and are not responsible for Third-Party Services, and your use of them is governed by their own terms and privacy policies.

App store terms. If you access Clipadda through a third-party app store or platform (such as the Apple App Store or Google Play, each a "Provider"), you acknowledge that: (a) these Terms are between you and Clipadda only, and the Provider is not a party to them; (b) the Provider has no obligation to provide maintenance or support for the app; (c) the Provider is not responsible for addressing any claims relating to the app, including product liability, legal compliance, or intellectual property infringement claims; and (d) the Provider is a third-party beneficiary of these Terms and may enforce them against you accordingly.

8. Account Linking and API Integrations

To use certain features, you may need to connect a social media or streaming account (a "Connected Account"), such as YouTube, Instagram, TikTok, X, or Twitch, through that platform's API. By connecting an account, you authorize Clipadda to access, retrieve, and display data from it as necessary to provide the Platform's features, as further described in our Privacy Policy.

You represent that you own or control any Connected Account you link and have the right to authorize our access to it. You may revoke our access at any time through the relevant platform's settings or your Clipadda account settings. We are not affiliated with or endorsed by any social media platform, and your use of a Connected Account remains subject to that platform's own terms of service and privacy policy.

9. Termination

We may suspend or terminate your access to the Platform, with or without notice, if we believe you have violated these Terms, our Content Requirements, or applicable law, or for any other reason at our discretion. You may stop using the Platform and close your account at any time by contacting support@clipadda.com. Provisions of these Terms that by their nature should survive termination (including Sections 1, 3, 6, 10, and 11) will survive.

10. Dispute Resolution and Arbitration

Informal resolution. If you have a dispute with Clipadda relating to these Terms (a "Dispute"), you agree to first send written notice to support@clipadda.com describing the Dispute, the relief sought, and sufficient information for us to evaluate the claim. We will attempt in good faith to resolve the Dispute informally within 30 days of receiving such notice.

Arbitration. If a Dispute is not resolved informally, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended, before a sole arbitrator appointed by mutual agreement of the parties (or, failing agreement, in accordance with that Act). The seat and venue of arbitration shall be Bengaluru, Karnataka, India, and the language of arbitration shall be English. The arbitrator's award shall be final and binding on the parties, subject to any right of challenge available under applicable Indian law.


No class actions. To the extent permitted by law, disputes shall be resolved on an individual basis, and you agree not to bring or participate in any class, representative, or consolidated proceeding against Clipadda.


Nothing in this section prevents either party from seeking interim or injunctive relief from a competent court where necessary to protect its rights pending the outcome of arbitration.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to Section 10, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms that is not required to be arbitrated.

12. Miscellaneous

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Clipadda. Our failure to act on a breach of these Terms does not waive our right to act on future or similar breaches. If any provision of these Terms is found unenforceable, that provision will be severed and the remaining provisions will continue in full force. We may cooperate with law enforcement or regulatory authorities as required under applicable Indian law, including in response to lawful requests. These Terms, together with our Privacy Policy and any campaign- or feature-specific terms we publish, constitute the entire agreement between you and Clipadda regarding your use of the Platform.
